1. Platform Role and No Rental Relationship

ToolRentalsOnline is a technology platform that enables independent users to list, find, and rent tools.

ToolRentalsOnline is not:

a tool owner,

a renter,

a rental company,

an equipment supplier,

an inspection service, or

a maintenance provider.

All rentals are direct agreements solely between tool owners and renters.

ToolRentalsOnline is not a party to any rental agreement.

2. User Eligibility

You must be at least 18 years old and legally able to enter binding contracts to use the Platform.

By using the Platform, you represent and warrant that you meet these requirements.

3. User Categories

Users may register as:

tool owners (“Owners”), and/or

tool renters (“Renters”).

A user may act in both roles.

4. Tool Owners – Responsibilities

Tool owners are solely and fully responsible for:

the ownership or legal right to rent the tools they list,

the accuracy of their listings,

the condition, safety, functionality, and cleanliness of tools,

inspection and maintenance of tools,

compliance with manufacturer instructions,

compliance with all applicable laws and regulations,

disclosure of known defects, limitations, and risks,

safe storage, delivery, and pickup procedures.

Tool owners must not list tools that are unsafe, defective, illegal to rent, or improperly maintained.

5. Renters – Responsibilities

Renters are solely and fully responsible for:

using tools safely and only for their intended purpose,

following manufacturer instructions and safety warnings,

using proper protective equipment,

ensuring they are capable and qualified to operate the tool,

complying with all laws, permits, and regulations applicable to their project,

returning tools on time and in proper condition,

not allowing unauthorized persons to use rented tools.

6. Assumption of Risk

You understand and agree that the use of tools and equipment involves inherent risks, including serious bodily injury, death, and property damage.

By using the Platform, you voluntarily and expressly assume all risks arising from:

listing,

renting,

borrowing,

transporting,

handling,

operating, and

returning tools.

7. No Warranties Regarding Tools

ToolRentalsOnline does not:

inspect tools,

test tools,

certify tools,

maintain tools,

verify listings,

verify user qualifications.

All tools are provided by owners “as is” and “as available.”

To the maximum extent permitted by law, ToolRentalsOnline disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, safety, or suitability.

8. Safety and Conduct

You agree to use the Platform and any rented tools responsibly and lawfully.

You must not:

misuse tools,

bypass safety devices,

provide tools to unauthorized users,

engage in unsafe, abusive, or illegal conduct.

9. Payments and Fees

Payments are processed by third-party payment providers.

ToolRentalsOnline does not hold tools, control rental funds except as a platform intermediary, and does not guarantee payment or recovery of damages.

10. Returns, Loss, and Damage

Renters are solely responsible for:

late returns,

missing tools,

theft,

damage beyond ordinary wear and tear,

loss of accessories.

ToolRentalsOnline does not guarantee reimbursement, replacement, or recovery of tools.

11. Disputes Between Users

Disputes regarding:

condition of tools,

returns,

damages,

refunds,

listing accuracy,

behavior of users,

are strictly between Owners and Renters.

ToolRentalsOnline may, but is not obligated to, assist with communication or dispute handling.

12. No Supervision of Users

ToolRentalsOnline does not:

supervise tool use,

supervise meetings,

supervise deliveries,

verify user identity, licenses, or experience.

All interactions occur at your own risk.

13. Personal Injury, Property Damage, and Loss

To the maximum extent permitted by law, ToolRentalsOnline shall not be liable for:

personal injury,

bodily harm,

death,

emotional distress,

property damage,

business losses,

loss of data,

loss of tools,

theft,

misuse of tools,

improper maintenance,

improper instructions,

failure to return tools.

14. Release of Liability

You hereby release and forever discharge ToolRentalsOnline and its owners, officers, employees, contractors, and affiliates from any and all claims, demands, damages, losses, and liabilities arising out of or related to:

your use of the Platform,

any rental or listing,

any tool,

any interaction with another user,

any injury or damage caused by a tool.

15. Indemnification

You agree to defend, indemnify, and hold harmless ToolRentalsOnline and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including attorneys’ fees) arising from or related to:

your use of the Platform,

your listings,

your rentals,

your failure to comply with these Terms,

your misuse of tools,

your failure to maintain tools,

your failure to return tools,

your violation of any law,

any injury or damage caused by you or your tools.

16. No Professional Advice

Any information provided on the Platform, including safety or operational guidance, is general information only and does not constitute professional, technical, legal, or safety advice.

17. Account Suspension and Removal

ToolRentalsOnline may suspend or terminate accounts at any time and for any reason, including:

unsafe conduct,

repeated complaints,

suspected fraud,

violation of these Terms.

18. Limitation of Liability

To the maximum extent permitted by law, ToolRentalsOnline’s total liability for any claim arising out of or relating to the Platform shall not exceed the total fees paid to ToolRentalsOnline by you during the twelve (12) months prior to the event giving rise to the claim.

19. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.

Any legal action must be brought exclusively in the state or federal courts located in Pennsylvania.

20. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy and any additional posted policies, constitute the entire agreement between you and ToolRentalsOnline.

22. Changes to These Terms

We may modify these Terms at any time.

Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
